Competitive Edge Core™ — Intellectual Property & System Use Agreement

This is the intellectual property, license, and termination portion of our full client agreement. It governs the licensed use of the Competitive Edge Core™ system by each Client and is referenced by our Terms & Conditions.

1. Ownership of System

The Competitive Edge Core™ system, including but not limited to all Airtable structures, databases, fields, dashboards, automations, workflows, templates, forms, reports, scoring systems, training materials, documents, and methodologies (collectively, the “System”), is and shall remain the exclusive property of Jason Tiede / JMT Choreography.

Purchase or subscription to the System does not transfer ownership under any circumstances.

2. License to Use

The Client is granted a limited, non-exclusive, non-transferable, revocable license to use the System solely for internal business operations within their own gym or program.

This license is active only while the Client maintains an active subscription or agreement.

3. Prohibited Actions

The Client agrees NOT to:

• Copy, duplicate, or recreate the System, in whole or in part.
• Share access with non-authorized users outside their organization.
• Sell, sublicense, distribute, or transfer the System to any third party.
• Reverse engineer, deconstruct, or replicate the structure, workflows, or logic of the System.
• Use the System to build a competing product or service.
• Export or reuse templates, frameworks, or workflows for external use.

4. Confidentiality

All System components, structure, and methodology are considered proprietary and confidential.

The Client agrees to maintain strict confidentiality and not disclose, share, or expose any part of the System to outside parties without the prior written consent of JMT Choreography.

5. Access & Termination

JMT Choreography reserves the right to suspend or terminate access to the System at any time if:

• The Client violates any terms of this agreement.
• Payment is not maintained.
• Misuse or unauthorized sharing is detected.

Upon termination, all rights to access and use the System are immediately revoked.

6. No Ownership Rights

The Client acknowledges that they are purchasing access to a service and system — not ownership of the intellectual property.

All improvements, updates, or modifications to the System remain the sole property of JMT Choreography.

7. Enforcement

Unauthorized use, duplication, or distribution of the System may result in legal action, including financial damages and loss of access.

8. Cancellation Notice

The Client must provide a minimum of thirty (30) days’ written notice to cancel an active subscription or service agreement. Cancellation requests submitted with less than 30 days’ notice will result in continued billing through the end of the next 30-day cycle.

Upon cancellation:

• All access to the System is revoked at the end of the notice period.
• The Client may request an export of their own gym-specific data within fourteen (14) days of the cancellation date.
• All proprietary System components, templates, frameworks, and methodologies remain the sole property of JMT Choreography and may not be retained, copied, or reused.

9. Acceptance

By purchasing, subscribing, or using Competitive Edge Core™, the Client agrees to all terms outlined in this agreement.
